La existencia de un tejido empresarial soportado en micro, pequeñas y medianas empresas, gran parte de ellas con forma societaria y de carácter familiar, plantea el problema de la libre entrada y salida de los socios de la empresa y, por tanto, del ejercicio del derecho individual del socio a pertenecer a la sociedad, particularmente cuando ésta procede del simple hecho de herencia. Este problema es bien conocido y polémico en el derecho societario.
Este trabajo analiza el artículo 348 bis de la Ley 25/2011, de 1 de agosto, de reforma parcial de la Ley de Sociedades de Capital en el contexto de las sociedades familiares y relacionado con el derecho de separación del socio cuando nos se distribuyen dividendos. También efectúa sugerencias de mejora e interpretaciones del mismo que son necesarias para una mejor gestión de la empresa.
The existence of a economic structure based on micro, small and medium enterprises, many of them with a corporate and family nature, poses the problem of free entry and exit of venture partners and therefore the exercise of partner's individual right of belonging to society, particularly when it is derived by the simple fact of inheritance. This problem is well known and controversial in corporate law.
This paper analyses the article 348 bis of Law 25/2011, of August 1, partial reform of the Capital Companies Act in the context of family companies and in connection with the individual right of separation of the company in the absence of distribution of dividends. We also make suggestions for improvement and interpretations thereof that are necessary for better management of the company.
